These Terms & Conditions (“Terms”) are a binding agreement between you and KoiFi. They govern your use of the KoiFi apps, the koifi.app website, and related services (the “Service”). Please read them carefully — they include important limitations of our liability and a section on how disputes are resolved. By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.

1Acceptance & eligibility

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract, and not barred from using the Service under applicable law. By using the Service you represent that you meet these requirements. If you use the Service on behalf of an organization, you represent that you are authorized to bind it, and “you” includes that organization.

2What KoiFi is

KoiFi helps you track spending, budgets, investments, goals and habits in one place, learn about personal finance, and view information from accounts you choose to connect. KoiFi:

• is a personal-finance information and organization tool;
• connects to banks and crypto wallets on a read-only basis and cannot move money, place orders, or execute transactions;
• displays prices, balances and other data that may be delayed, estimated, or inaccurate and should not be relied upon for time-sensitive decisions;
• works offline-first, and depends on third-party services (banks, blockchains, data providers, app stores) that we do not control.

3Your account

You are responsible for the information you provide, for keeping your credentials confidential, and for all activity under your account. Notify us promptly at hello@koifi.app of any unauthorized use. Keep your data accurate — KoiFi's outputs are only as good as the data you enter and the data your connected providers return.

4Subscriptions & payments

• Tiers. KoiFi offers a free tier and paid subscriptions (e.g. Pro and Premium) with different limits and features, which we may change over time.
• Billing. Paid subscriptions are sold through the Apple App Store and Google Play (and any other payment method we may make available). Payment is charged to the account you use, and app-store purchases are also governed by that store's terms.
• Auto-renewal. Subscriptions renew automatically for the same period unless you cancel at least 24 hours before the end of the current period. Manage or cancel in your App Store / Google Play account settings.
• Free trials / promotions. If offered, any unused portion of a free trial is forfeited when you buy a subscription. Founding-member and promotional benefits are subject to their stated conditions.
• Price changes. We may change prices; changes apply to future billing periods and, where required, with notice and/or your consent via the store.
• Refunds. Payments are handled by the app stores, and refunds are subject to their policies and to your non-waivable statutory rights (including EU/UK consumer withdrawal rights where they apply). We do not separately control app-store charges.

4AReferral rewards

We may run referral programmes that let you invite other people to KoiFi and earn a reward when they join. Taking part is voluntary, and these rules apply to it.

• What a reward is. Rewards are subscription benefits — usually a period of paid access added to your account. They are not money, have no cash value, cannot be redeemed for cash, and are not a discount on, or a refund of, anything you pay an app store.
• What is, and is not, a referral. A referral is an invitation sent through a referral programme we are running, using the invite link or code the app gives you. Inviting someone to share a space with you inside KoiFi — a household or business the two of you keep books in together — is a different thing and is not a referral: it earns no reward.
• The conditions shown in the app apply. Reward amounts, who is eligible, the limits per person and per period, and the time after which an unused reward expires are shown in the app. The ones displayed when a reward is earned form part of this Section. If anything shown in the app conflicts with this Section, this Section governs.
• When a referral counts. A reward is earned only once the person you invited completes the qualifying action described in the app, and only after the holding period shown there has passed. If their purchase is refunded, charged back or cancelled during that holding period, the reward is not earned. Once a reward has been earned we will not take it back, except in the two cases this Section states: it expires unused after the time shown in the app, or you obtained it in one of the ways Fair use below prohibits.
• If you are the one invited. A referral code can be used only as the app describes at the time — including when it can still be applied to your account, and that it can be used once. A code you cannot use never stops you from creating an account or from using KoiFi; what you receive for using one, if anything, is shown in the app before you apply it.
• What the two of you can see. If you use someone's invitation we tell them that you joined, and show them your name and whether you have subscribed. We do not tell them which plan you are on, what you pay, or anything else about your account or your finances. We tell you who invited you.
• Rewards only ever add. Taking part never removes or restricts a feature or limit of the plan you already have — a reward can only leave you where you were or better — and you never have to refer anyone to use something you have paid for.
• Transfers. A reward belongs to your account. It cannot be sold, traded or transferred, except where the app itself offers a way to give it to another KoiFi account.
• Fair use. You must not refer yourself, create or use accounts you control in order to earn rewards, use false or borrowed identities, send unsolicited messages, bid on our name in paid advertising, or post your invite where it will be picked up by people you never actually told about KoiFi — coupon and voucher aggregators, for example. We may withhold, void or reverse rewards obtained that way, and doing any of it is a breach of Section 8.
• Changes, and ending a programme. We may change reward amounts and conditions, or end a programme, at any time. A change made afterwards does not affect a reward you have already earned, and does not shorten the expiry that applied when you earned it.
• Creators and partners. Commercial arrangements with creators, publishers and other partners are separate, and are set out in a written agreement with that partner. Nothing in this Section gives anyone a right to a commission or a share of revenue.
• Tax. Any tax arising from a reward is the responsibility of whoever receives it.
• Not run by the app stores. Referral programmes are run by KoiFi. They are not sponsored, endorsed or administered by Apple or Google.

5No financial, investment, tax or legal advice

All content, tools, projections, simulations (including Monte Carlo, FIRE and retirement calculators), insights, and AI companion messages are provided for general information and education only. They are not advice or a recommendation to buy, sell or hold any asset, and do not consider your individual circumstances.

• Investing involves risk, including loss of principal. Past performance does not guarantee future results. Crypto-assets are especially volatile and may lose all value.
• KoiFi does not guarantee any outcome, return, tax result, or the accuracy of any figure, rate, or projection.
• You are solely responsible for your decisions. Consult a licensed financial, tax or legal professional before acting.

6Connected & third-party services

When you connect a bank, wallet, or other account, you authorize KoiFi to access read-only information from it, and your use of that connection is also subject to the third party's terms. We are not responsible for third-party services, the accuracy or availability of the data they provide, or any changes, fees, suspensions or losses arising from them. Prices, balances, transactions and news are sourced from third parties “as is”.

7AI features

AI-assisted features generate responses using automated systems and third-party AI providers. Output may be inaccurate, incomplete or out of date, is not advice (see Section 5), and should be independently verified before you rely on it. You must not use AI features to violate these Terms or any law. See our Privacy Policy for how AI-related data is handled.

8Acceptable use

You agree not to:

• break the law, infringe others' rights, or use the Service for money laundering, fraud or other illicit activity;
• access another user's data or space without authorization, or attempt to defeat our security or space-isolation controls;
• reverse engineer, decompile, scrape, or copy the Service except as permitted by law;
• overload, disrupt, or probe the Service or its infrastructure, or exceed rate limits;
• resell, sublicense, or commercially exploit the Service without our written permission;
• abuse a referral programme in any of the ways described in Section 4A;
• upload malware or unlawful, infringing, or harmful content;
• misuse AI features to generate prohibited, deceptive, or abusive content.

9Your content

You own your data. You retain all rights to the financial data, receipts, and content you put into KoiFi (“Your Content”). You grant us a limited, worldwide, non-exclusive license to host, process, transmit, back up and display Your Content solely to operate and improve the Service for you and the spaces you share it with. If you send us feedback or suggestions, you grant us a perpetual, royalty-free right to use them without obligation to you.

10Intellectual property

The Service — including the KoiFi apps, website, design, the koi mascots and evolution artwork, logos, text, and software — is owned by KoiFi and its licensors and is protected by intellectual-property laws. We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service for your own personal (or internal business) use under these Terms. All rights not expressly granted are reserved. “KoiFi”, the koi mark, and related branding are our trademarks; do not use them without permission.

11Disclaimers

To the maximum extent permitted by law, the Service is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any data, price, calculation or projection is accurate, complete or current. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you, and nothing in these Terms limits your non-waivable statutory rights.

12Limitation of liability

To the maximum extent permitted by law:

• KoiFi and its owners, developers, employees, and providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill, or investment or financial losses, arising out of or relating to the Service or your financial decisions, even if advised of the possibility.
• Our total aggregate liability for all claims relating to the Service is limited to the greater of (a) the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) EUR 100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law (for example, for death or personal injury caused by negligence, fraud, or your non-waivable consumer rights). Where liability cannot be fully excluded, it is limited to the minimum permitted by law.

13Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless KoiFi and its owners, developers, employees and providers from and against any claims, damages, losses, liabilities, and reasonable legal fees arising out of or related to: (a) your use or misuse of the Service; (b) Your Content; (c) your violation of these Terms or any law; or (d) your infringement of any third-party right. This does not apply to the extent a claim arises from our own willful misconduct.

14Suspension & termination

You may stop using the Service and delete your account at any time in the app. We may suspend or terminate your access if you breach these Terms, to protect the Service or other users, or if required by law — with notice where practicable. On termination, your license ends; sections that by their nature should survive (including Sections 4A, 5, 9–13, 16) survive. We handle your data on termination as described in the Privacy Policy.

15Changes to the Service & Terms

We are actively developing KoiFi and may add, change or discontinue features. We may update these Terms; when we make material changes we will post the updated version here with a new date and provide additional notice where required. Where the change is material, the app will show you a short notice and ask you to accept the updated Terms before you continue; for smaller corrections your continued use after the change takes effect means you accept them. If you do not agree, stop using the Service.

16Governing law & dispute resolution

These Terms are governed by the laws of Ukraine, without regard to conflict-of-laws rules, and subject to the mandatory consumer-protection laws of your country of residence.

Let's talk first. Before starting any formal proceeding, please contact us at hello@koifi.app so we can try to resolve the matter informally.

If we cannot resolve it, the dispute will be subject to the exclusive jurisdiction of the competent courts of Ukraine. Nothing here removes your right, as a consumer, to bring proceedings in the courts of your home country, or to rely on the mandatory consumer-protection laws of the place where you live.

17General

• Entire agreement. These Terms and the Privacy Policy, together with any programme conditions these Terms expressly incorporate (see Section 4A), are the entire agreement between you and KoiFi about the Service.
• Severability. If any provision is unenforceable, the rest remain in effect.
• No waiver. Our failure to enforce a provision is not a waiver of it.
• Assignment. You may not assign these Terms; we may assign them in connection with a merger, acquisition or reorganization.
• Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
• Notices. We may give notices in-app, by email, or on koifi.app.
• App-store terms. If you use the app via Apple or Google, their standard end-user license terms also apply, and those platforms are third-party beneficiaries of these Terms to that extent.
• Language. The English version of these Terms governs.
